Orderly Rescue — operated by Quarata Consulting LLC
We built Orderly Rescue to help merchants spot checkout problems and give customers a better chance of completing a purchase. We charge for the service where a paid plan applies, explain its limits and work with you when something goes wrong.
These terms are between Quarata Consulting LLC, a Florida limited liability company at 7901 4th St N Ste 300, St. Petersburg, FL 33702, United States ("we"), and the business operating the Shopify store ("you"). Contact: info@orderlyrescue.com.
By selecting "Accept and continue", you confirm that you are authorised to bind the merchant and accept these terms and the Data Processing Addendum, which forms part of them. This is a business service. The Privacy Policy explains how we handle personal information.
Your agreement starts on acceptance and continues until terminated. You do not need to accept routine updates repeatedly. Section 10 explains changes. If you do not agree, do not activate the service and uninstall it.
The app collects supported checkout errors and shopping events, groups recurring problems, displays reports, and can notify your staff by email or a configured webhook. It can also display optional, section-specific checkout guidance where Shopify supports the extension and you enable it.
The guidance does not detect an individual error, correct an address, retry a payment or place an order. We do not send messages directly to shoppers. You decide whether and how to follow up with a customer.
Coverage depends on Shopify, the merchant's configuration, customer privacy permissions, browsers and network availability. Not every failure produces an event we can observe. Payment processors and carriers make their own decisions.
Reports are estimates based on observed events. A "recovered" checkout means a completion observed after an error; it does not prove the app caused the sale. "Revenue at risk" is an estimate of associated cart value, not confirmed lost revenue. An error marked recoverable is a suggestion, not a guarantee. We do not guarantee order recovery, increased revenue, complete reporting or successful payment.
Use the app only on stores you own or are authorised to administer. Keep your Shopify account in good standing and review the app's settings for your business.
You are responsible for your customer notices, a lawful basis for processing, required privacy permissions, and lawful customer follow-up. Access to a contact detail does not itself permit marketing emails or texts. Configure Shopify's privacy tools accurately and honour customer choices.
Your settings are processing instructions, subject to applicable law and the DPA. Choose the shortest retention period you need. Keep notification addresses current and restrict access to exports, inboxes and webhook destinations. You control copies delivered to those destinations.
Do not access another merchant's information, interfere with the service, bypass security or privacy controls, collect data for unrelated advertising or profiling, or resell the service without our agreement. Store-specific diagnostics and analytics are permitted. Do not submit payment credentials or special-category information. Report a suspected security problem privately to our contact address.
You retain your rights in store data. We may process it to provide, secure and support the service as described in the DPA and Privacy Policy. We do not sell shopper data, use it for advertising, train AI models on it or build cross-store shopper profiles.
Each party will protect the other's non-public business information, use it for this relationship and disclose it only to people or providers who need it and are subject to appropriate confidentiality duties, or when legally required. This does not cover information already public, independently developed or lawfully obtained elsewhere.
The app offers four plans, Free, Starter, Growth and Pro, through Shopify App Pricing. Shopify bills paid plans on your Shopify invoice; we do not take payment ourselves. Prices, currency and billing intervals are shown on the app's Shopify App Store listing and on Shopify's plan page, where you can change plans without contacting us. The terms shown there when you choose a plan are the terms that apply to it, and what each plan shows is listed on the listing. A free plan has no subscription charge. We will not treat acceptance of these terms as approval of a new paid plan.
Every paid plan starts with a 14-day free trial. Growth and Pro can also be billed yearly; Starter is billed monthly only. A recurring plan renews under its approved billing terms until cancelled. Uninstall the app to cancel future renewals; charges already incurred may still appear on a later Shopify invoice. A trial converts to paid service only as stated in the billing approval. We do not promise prorated refunds for unused time unless the approved offer or applicable law requires them. Contact us about billing errors or service problems so we can investigate and consider an appropriate refund.
An upgrade applies when Shopify confirms it. A downgrade applies at the end of the current billing period; until then your current plan's features and history stay, and the app shows the pending change. Changes requiring new Shopify billing approval will not be charged without it. There is no separate termination fee.
Each plan keeps stored events for a set number of days: Free 7, Starter 30, Growth 90 and Pro 365. You may choose a shorter window in Settings, never a longer one than your plan keeps. Events outside the window are removed by daily cleanup. Until Shopify first confirms your plan, cleanup uses a 30-day window for the first 30 days after install and the Free window after that, unless you chose a window in Settings. Browsing (journey) events, the page, cart and add-to-cart steps shown in the customer timeline, are kept for at most 30 days on every plan, or for your plan's window if that is shorter; error and checkout events follow your plan's window.
Fair use. The service is built for normal store traffic, and there is no storage quota or storage charge on any plan. To keep it reliable for every store, we may sample or pause the capture of browsing events for a store whose volume is far above normal, or adjust that store's ingest limit, and we may contact you about it. Checkout and error events are given priority over browsing events, and we do not sample or pause them for fair use.
Some details are shown only on higher plans. The app still collects them under your settings and stores them while they are inside your window, but withholds them from the screens, emails, exports and webhooks of a plan that does not include them. They show again after an upgrade, for events still inside the new plan's window. A complete copy of your data, including details your plan does not show, is available on request on every plan, and Shopify's customer data requests are handled the same way on every plan.
When a plan change, or the first application of plan-based windows to an existing installation, gives your store a shorter window, the app stops showing events outside the new window once the change takes effect and deletes them 72 hours later, with a notice in the app that gives the date. Upgrading before then keeps them. Deletion cannot be undone, so request a copy of your data first if you need the older events.
We use reasonable care to operate the service and provide support by email. We do not offer a contractual uptime percentage, guaranteed response time or recovery outcome. Maintenance, incidents and platform changes can interrupt collection or notifications, and missed events may be unrecoverable.
To the extent permitted by law, the service is provided "as is" and "as available", without implied warranties of merchantability, fitness for a particular purpose or non-infringement. These limitations do not remove our express data-protection obligations or rights that cannot lawfully be excluded. Keep your own essential business records.
To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, consequential, special or punitive damages, or lost profits, revenue, sales or goodwill arising from this agreement. Our total aggregate liability is limited to the greater of USD 100 and the fees you paid us for the app in the twelve months preceding the event giving rise to the claim.
These exclusions and limits do not apply to fraud, wilful misconduct, death or personal injury caused by negligence, or liability that applicable law does not permit us to exclude or limit. They do not restrict any rights, obligations or liability under the standard contractual clauses or UK Addendum, including rights between their parties. The DPA's precedence clause applies.
Each party remains responsible for its own conduct. Nothing here requires you to indemnify us for our own breach.
You may terminate by uninstalling at any time. We may suspend access when reasonably necessary to address abuse, non-payment, a security risk or unlawful use. Where practicable, we will explain the issue and give you an opportunity to remedy it. We may discontinue the service on at least 30 days' notice, except where law or an urgent security issue requires earlier action.
Export your data or request a complete machine-readable copy before uninstalling. Uninstall stops accepting new events once its notification is processed. We delete store data through Shopify's erasure process, with a daily fallback for installations inactive for seven days. If you reinstall the app before Shopify's erasure request arrives, the store's data stays with the reinstalled installation and is erased on Shopify's request after a later uninstall. The DPA explains retained security and agreement records, backups and legal exceptions.
Accrued payment obligations, confidentiality, intellectual-property provisions, dispute provisions and liability limits survive termination. Data-protection duties continue while covered data remains in our possession.
Please send a description of a dispute and your requested resolution to info@orderlyrescue.com. We will give you the same opportunity to address a dispute we raise. Both parties will try in good faith to resolve it for 30 days before filing a claim. This does not prevent urgent relief, a timely filing needed to preserve a claim, regulatory complaints or exercise of mandatory rights.
Florida law governs these terms, excluding conflict-of-laws rules. Subject to mandatory rights and the transfer clauses in the DPA, disputes belong in the state courts in Pinellas County, Florida, or the United States District Court for the Middle District of Florida, as applicable. The UN Convention on Contracts for the International Sale of Goods does not apply.
We post material changes on this page with a summary and an effective date at least 30 days after posting, and show a notice in the app; continuing to use the service after that date means you accept them where legally permitted, and you may uninstall before then.
Clarifications that do not change rights or obligations can apply on publication. A legally required earlier change applies only to the extent and on the date required. We will request fresh acceptance where required by law or the nature of the change. Changes are not retroactive. Subprocessor changes follow the DPA's separate notice and objection process.
We keep a record of each acceptance and acknowledgement (store, version, document fingerprints, date and staff user id) for six years, to administer this relationship and address disputes. Earlier versions are available on request.
We own the app and grant you a limited, non-exclusive right to use it for your stores during this agreement. Feedback may be used to improve the service without granting us additional rights to personal data.
These terms and the DPA form the agreement about the app. Shopify's agreements remain separate. A failure to enforce a provision does not waive it. If a provision is unenforceable, the remaining provisions continue.
Neither party may assign this agreement without the other's consent, except to a successor in a merger or sale of the relevant business on notice, provided the successor assumes the obligations. Such a transfer does not expand permitted uses of personal data.
Material changes follow section 10. New merchants accept the version presented when they activate the app.
